Data License Agreement

1. Grant of License

Subject to the terms and conditions of this Agreement and payment of applicable fees, Apex Firmographics grants the Licensee a non-exclusive, non-transferable, and revocable annual license to access and use the purchased firmographic data assets solely for internal business purposes.

2. Strict Restrictions on Use (No Resale)

To protect the integrity of our automated pipelines and data models, the Licensee expressly agrees that it shall not:

• Sell, rent, lease, sub-license, distribute, or otherwise transfer the Data (or any derivative of the Data) to any third party.
• Incorporate the Data into a commercial product or service offered to external clients (e.g., competing public directories, data enrichment APIs, or firmographic SaaS products).
• Publish the dataset or any substantial portion thereof on public domains, GitHub, or open-source repositories.

3. Delivery & Updates

For Enterprise Master Vault licensees, data will be provisioned via automated monthly delta updates pushed to a designated AWS S3 bucket. Standard tier purchases are provisioned as static secure downloads upon checkout verification. Continued access to monthly S3 deltas requires an active, paid annual license.

4. Ownership

Apex Firmographics retains all rights, title, and interest in the proprietary data schemas, Python processing methodologies, deduplication algorithms, and the compiled datasets. This Agreement grants a license to use the data, not ownership of the data product itself.

5. Term and Termination

This License is valid for one (1) year from the date of purchase. Apex Firmographics may terminate this License immediately if the Licensee breaches any provision of Section 2. Upon termination, the Licensee must immediately destroy all copies of the Data and cease all use.
